This website is operated by AKV Studios. Throughout the site, the terms "we", "us" and "our" refer to AKV Studios. By visiting our site, downloading our software, and/or purchasing something from us, you engage in our "Service" and agree to be bound by the following terms and conditions ("Terms of Service", "Terms"), including the additional terms, conditions and policies referenced here and/or available by hyperlink. These Terms apply to all users of the site, including without limitation browsers, customers, and contributors of content.

Our store is hosted on Shopify Inc., which provides the e-commerce platform that allows us to sell our products and Services to you.

We reserve the right to refuse Service to anyone for any reason at any time.

You understand that your content (not including payment card information) may be transferred unencrypted and involve transmissions over various networks and changes to conform to technical requirements of connecting networks or devices. Payment card information is always encrypted during transfer.

You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service without express written permission from us.

The headings in this agreement are for convenience only and do not limit or affect these Terms.

Section 3: Accuracy, completeness and timeliness of information

We are not responsible if information made available on this site is not accurate, complete or current. The material on this site is provided for general information only. Any reliance on it is at your own risk.

This site may contain historical information, which is not current and is provided for reference only. We may modify the contents of this site at any time but have no obligation to update any information on it.

Prices for our products are subject to change without notice.

We may modify or discontinue the Service, or any part of it, at any time without notice.

We are not liable to you or any third party for any modification, price change, suspension or discontinuance of the Service.

Section 5: Digital products and delivery

All products sold on this site are digital. No physical goods are shipped.

After purchase, you receive a download link and, for licensed products, a license key by email. Delivery is considered complete when the download link is made available to you.

Some products are offered free of charge in exchange for an email address. Free products are subject to these Terms in the same way as paid products.

We do not warrant that the quality of any product will meet your expectations, or that any errors in a product will be corrected.

Section 6: Software license

Our plugins and software are licensed to you, not sold. When you purchase or download a product, AKV Studios grants you a limited, personal, non-exclusive, non-transferable license to install and use it, subject to these Terms.

One license, one machine. Each license key may be activated on one computer at a time. To move a license to a different computer, deactivate it on the original machine first, or contact us to reset it. Additional machines require additional licenses.

Commercial use is allowed. You may use our software to produce work for yourself, your employer, or your clients, including paid client work.

You may not:

Share, publish, sell, rent, lend or otherwise transfer your license key or the software to anyone else.

Install or activate one license on more than one machine at the same time.

Copy, modify, decompile, reverse engineer, or attempt to extract the source code of the software, except where applicable law expressly permits this.

Remove, disable, or circumvent the license check or any other technical protection in the software.

Redistribute the software or any part of it, including inside another product.

License verification. Licensed products periodically verify your license key with our server. This requires an internet connection at activation and from time to time afterward. What is sent during verification is described in our Privacy Policy.

Termination of your license. Your license ends automatically if you receive a refund, if a payment is reversed or disputed through your bank, or if you breach this section. When your license ends, the software will stop working and you must remove it from your computer.

All rights not expressly granted to you are reserved by AKV Studios. The software, including its code, design, and documentation, remains the property of AKV Studios.

Section 7: Acceptable use of content tools

Some of our tools, including ClipSnag, retrieve media from online platforms and bring it into your editing software.

You may only use these tools with content you own, or content you have permission from the owner to use. You are solely responsible for making sure your use complies with copyright law and with the terms of service of any platform you retrieve content from.

We do not host, store, or distribute any content retrieved through our tools, and we are not responsible for how you use it. We may withdraw or change these tools at any time.

Section 8: Compatibility and updates

Our plugins are built for specific versions of Adobe Premiere Pro and specific operating systems, listed on each product page. We do not guarantee that any product will continue to work after future releases of Premiere Pro, your operating system, or other software you use.

We may release updates, fixes, or new versions at our discretion. We are not obligated to provide updates, support for older versions, or support for new versions of Premiere Pro. Some future versions may be sold as separate products.

We recommend saving your project before running any plugin and keeping backups of your work.

Section 9: Third-party software and trademarks

Some of our products include third-party open-source components, which are licensed under their own terms. Attribution and license notices for these components are included with the software.

Adobe and Premiere Pro are trademarks of Adobe Inc. AKV Studios is not affiliated with, sponsored by, or endorsed by Adobe. Other product and platform names mentioned on this site are trademarks of their respective owners.

Section 10: Accuracy of billing and account information

We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per account, or per order, including orders placed under the same customer account, the same payment card, or the same billing address. If we change or cancel an order, we may attempt to notify you using the email address provided at the time of purchase. We reserve the right to limit or prohibit orders that appear to be placed by resellers or distributors.

You agree to provide current, complete and accurate purchase and account information for all purchases, and to update it promptly so we can complete your transactions and contact you as needed.

Section 11: Optional tools

We may provide access to third-party tools which we do not monitor or control. You acknowledge that we provide access to such tools "as is" and "as available" without warranties of any kind. Use of optional third-party tools is entirely at your own risk and subject to the terms of the relevant third-party provider.

Third-party links on this site may direct you to websites not affiliated with us. We are not responsible for the content or accuracy of those websites and are not liable for any harm or damages related to transactions made with third parties. Questions about third-party products should be directed to the third party.

Section 13: User comments, feedback and other submissions

If you send us ideas, suggestions, proposals or other materials ("comments"), you agree that we may edit, copy, publish, distribute and otherwise use them in any medium without restriction, obligation of confidentiality, or compensation. We have no obligation to respond to comments.

We may, but have no obligation to, remove content we determine to be unlawful, offensive, or in violation of anyone's intellectual property or these Terms.

You agree that your comments will not violate the rights of any third party and will not contain unlawful or abusive material or malicious code. You are solely responsible for any comments you make.

In addition to other prohibitions in these Terms, you may not use the site, our software, or its content: (a) for any unlawful purpose; (b) to solicit others to perform unlawful acts; (c) to violate any regulations, rules, or laws; (d) to infringe upon our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, or discriminate against anyone; (f) to submit false or misleading information; (g) to upload or transmit malicious code; (h) to collect or track the personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape; (j) for any obscene or immoral purpose; or (k) to interfere with or circumvent the security features of the Service, including our license verification. We may terminate your use of the Service for violating any of these prohibited uses.

We do not guarantee that your use of our Service or software will be uninterrupted, timely, secure or error-free, or that results obtained from it will be accurate or reliable.

Our Service and all products delivered through it are provided "as is" and "as available", without warranties or conditions of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, durability, title, and non-infringement, except as expressly stated by us.

You are responsible for backing up your projects and media. We are not responsible for lost work, corrupted projects, missed deadlines, or lost revenue resulting from the use of, or inability to use, our software.

In no case shall AKV Studios, or its owners, contractors, suppliers, or licensors, be liable for any indirect, incidental, punitive, special, or consequential damages of any kind, including lost profits, lost revenue, lost data, or replacement costs, arising from your use of the Service or any product, even if advised of their possibility.

Our total liability to you for any claim arising from the Service or any product is limited to the amount you paid for the product the claim relates to.

Because some jurisdictions do not allow the exclusion or limitation of certain damages, in those jurisdictions our liability is limited to the maximum extent permitted by law.

Section 18: Indemnification

You agree to indemnify, defend and hold harmless AKV Studios and its owners, contractors, suppliers and licensors from any claim or demand, including reasonable attorneys' fees, made by any third party due to your breach of these Terms, your use of content retrieved through our tools, or your violation of any law or the rights of a third party.

If any provision of these Terms is determined to be unlawful, void or unenforceable, it shall be enforced to the fullest extent permitted by law, and the unenforceable portion shall be severed without affecting the validity of the remaining provisions.

Section 20: Termination

The obligations and liabilities of the parties incurred before termination survive termination of this agreement.

These Terms are effective until terminated by you or us. You may terminate them at any time by ceasing to use our site and removing our software.

If we determine that you have failed to comply with any provision of these Terms, we may terminate this agreement without notice, deactivate any associated license keys, and deny you access to our Services.

Section 21: Entire agreement

Our failure to exercise or enforce any right or provision of these Terms does not waive that right or provision.

These Terms, together with any policies posted on this site, constitute the entire agreement between you and us and supersede any prior agreements, communications and proposals. Any ambiguities shall not be construed against the drafting party.

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles.
